What the District requires of a registered agent
The rules live in Title 29 of the D.C. Code and are administered by the Department of Licensing and Consumer Protection (DLCP). Here is what they mean for your company.

Every DC company must have one
Each domestic LLC, corporation, or limited liability partnership, and every foreign entity registered to do business in the District, must designate and continuously maintain a registered agent in the District.

The agent needs a real street address in DC
A registered agent's address on file must be a street address in the District. A post office box does not satisfy the statute, and neither does an address in Maryland or Virginia.

The agent's job is to receive and forward
The statute gives a registered agent one core duty: forward to the company any process, notice, or demand served on the agent, at the address the company most recently supplied. Everything we do is built around doing that the same day.

If the agent cannot be found, you can be served anyway
When a company has no registered agent, or its agent cannot be served with reasonable diligence, a plaintiff may serve the company by certified mail at its principal office, or serve the Mayor as the company's agent. A lawsuit can proceed against you without anyone in your office ever handling the papers.

Sixty days without an agent is grounds for dissolution
The Mayor may begin administrative dissolution of a domestic entity that has had no registered agent in the District for 60 days, or that is five months late on a fee or biennial report.

The biennial report names your agent
Every two years your company files a biennial report with DLCP that lists its registered agent's name and street address, its principal office, at least one governor, and its beneficial owners. The first report is due April 1 of the year after formation. The filing fee is $300.

D.C. Code § 29-104.03 requires a street address in the District. Ours is one, and it is the address that goes on your public filings, so your home or office stays off the record.

Reminders before the biennial report is due
DLCP's $300 biennial report comes around every two years, and a missed one puts your company on the path to administrative dissolution. We remind you ahead of the April 1 deadline, with the filing details you need.

Questions we hear most
Can I be my own registered agent in DC?
You can if you have a street address in the District where someone is available during business hours to accept legal papers. A P.O. box does not qualify (D.C. Code § 29-104.03). Owners who live or work outside the District, or who do not want their address on the public record, use a commercial registered agent instead.
What happens if my company has no registered agent?
If your registered agent cannot be found, a plaintiff can serve your company by certified mail at its principal office, or serve the Mayor of the District of Columbia as your agent (D.C. Code § 29-104.12). A company with no registered agent in the District for 60 days can be dissolved administratively (D.C. Code § 29-106.01).
How do I switch to DC Registered Agents?
Tell us about your company through the form on this page. We send you the completed statement of change of registered agent for signature, or file it for you. The District charges a $50 filing fee for the change, which goes to DLCP and is separate from our $199.
Do you serve other states?
No. We serve the District of Columbia only. That is the whole point: one jurisdiction, one office, staff who know DLCP and D.C. Code Title 29.

Is $199 really the whole price?
Yes. $199 a year for registered agent service for one DC entity, renewing at $199. Fees the District charges are separate and go to DLCP, not to us: $99 to form an LLC or corporation, $300 for the biennial report, $50 to change registered agent.
My company was formed in another state. Do I need a DC registered agent?
If your company is registered to do business in the District as a foreign entity, yes. D.C. Code § 29-104.02 requires every registered foreign entity to designate and maintain a registered agent in the District.
